Terms & Conditions

2.1 Account Creation

To use certain features of the Platform, you must register for an account. When registering, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.2 Eligibility

By using the Platform, you represent and warrant that:

• You are at least 18 years of age.
• Minors under 18 years of age must have legal parental or guardian consent.
• You have the legal capacity to enter into binding contracts.

2.3 Account Termination

We reserve the right to suspend or terminate your account at any time without prior notice if you violate these Terms or engage in activities that could harm BuildersKonnect, its Users, or third parties. You may also terminate your account at any time.

3.1 License and Access

Subject to these Terms, BuildersKonnect grants you a limited, non-exclusive, non-transferable license to access and use the Platform for personal or business purposes related to browsing, purchasing, or selling building materials.

3.2 Prohibited Activities

You agree not to:

• Use the Platform for any illegal purpose or in violation of any Nigerian law, including FCCPC regulations.
• Harass other users.
• Impersonate another person or entity or misrepresent your affiliation with any person or entity.
• Interfere with or disrupt the Platform or servers or networks connected to the Platform.
• Attempt to gain unauthorized access to any portion of the Platform or any systems or networks connected to the Platform.
• Harvest or collect user information without consent.
• Upload viruses, malware, or other malicious code.
• Engage in price manipulation, false advertising, deceptive trade practices or any fraudulent activity.
• Circumvent, disable, or interfere with security-related features of the Platform.
• Use automated programs, bots, or scrapers to access the Platform.

4.1 Vendor Registration

Vendors must provide additional business information including but not limited to:

• Business Registration Certificate
• Tax Identification Number (TIN)
• Physical business address in Nigeria
• Contact information of authorized representatives
• Bank account details for receiving payments

4.2 Product Listings

Vendors agree to:

• Provide accurate and complete information about their products.
• Set fair prices in accordance with market conditions and FCCPC regulations.
• Clearly disclose any additional fees, taxes, or charges.
• Upload authentic images and specifications of products.
• Update inventory information in a timely manner.
• Comply with Nigerian standards and regulations for building materials.

4.3 Vendor Obligations

Vendors on BuildersKonnect are required to:

• Maintain sufficient inventory of listed products.
• Make products available for pickup by BuildersKonnect Fulfillment Officers within the agreed timeframe.
• Allow BuildersKonnect Fulfillment Officers to inspect and verify products before acceptance.
• Provide genuine invoices and receipts for all transactions.
• Honor all warranties and guarantees as advertised.
• Respond to customer inquiries and concerns promptly.
• Comply with the FCCPC's requirements regarding product quality and safety.

5.1 Orders and Purchases

• All prices are listed in Nigerian Naira (NGN) unless otherwise specified.
• Prices and availability of products are subject to change without notice.
• BuildersKonnect will provide order confirmation via email or in-app notification.
• Customers are responsible for providing accurate shipping information.

5.2 Customer Rights

In accordance with FCCPC regulations, customers have the right to:

• Receive clear and accurate information about products before purchase.
• Receive products that conform to their description and are of satisfactory quality.
• Return products in accordance with our Return Policy.
• Have complaints addressed in a timely and fair manner.
• Receive full disclosure of terms and conditions prior to completing purchases.

6.1 Payment Processing

• BuildersKonnect uses secure third-party payment processors to handle transactions.
• Available payment methods include bank transfers, debit/credit cards, and other electronic payment systems approved in Nigeria.
• All transactions are processed in Nigerian Naira unless otherwise specified.

6.2 Platform Fees

• BuildersKonnect charges vendors a commission on sales completed through the Platform.
• Current commission rates are available in the Vendor Dashboard.
• Additional fees may apply for premium features or promotional services.
• All fees are exclusive of applicable taxes.

6.3 Payment Security

• BuildersKonnect implements reasonable security measures to protect payment information.
• Users agree not to share payment credentials with third parties.
• BuildersKonnect complies with the Central Bank of Nigeria's regulations regarding electronic payments.

7.1 Delivery Terms

• Delivery timeframes are estimates and not guaranteed unless expressly stated.
• Risk of loss and title for items purchased pass to the customer upon delivery.
• BuildersKonnect is not liable for delays caused by factors outside our reasonable control.

7.2 Delivery Responsibility

• BuildersKonnect is responsible for product fulfillment and delivery through our Fulfillment Officers.
• Fulfillment Officers will verify product quality and quantity before dispatch.
• Customers are responsible for providing accurate delivery information and ensuring accessibility to the delivery location.
• Delivery fees are calculated based on location, size, and weight of orders.

7.3 Fulfillment Process

• Upon order placement, BuildersKonnect Fulfillment Officers will collect products from vendors.
• Products will be inspected for quality and accuracy before dispatch.
• Customers will receive notification when products are dispatched.
• Delivery confirmation requires signature or other proof of receipt.

7.4 Delivery Constraints

• Certain locations may have delivery restrictions or additional fees.
• BuildersKonnect reserves the right to refuse delivery to locations deemed unsafe or inaccessible.
• For bulky items, customers must ensure adequate access for delivery vehicles and personnel.
• Additional charges may apply for special handling, such as crane services or multi-person delivery teams.

8.1 Return Policy

Customers may return products according to our Return Policy, which complies with FCCPC requirements. The full Return Policy is incorporated by reference into these Terms.

8.2 Refund Processing

• Refunds will be processed in accordance with the Return Policy.
• BuildersKonnect reserves the right to withhold refunds if return conditions are not met.
• Processing time for refunds depends on the payment method used.

8.3 Return Logistics

• BuildersKonnect Fulfillment Officers will handle the collection of returned items.
• Customers must make the product available in the condition received.
• Fulfillment Officers will inspect returned items before processing refunds.

9.1 Internal Resolution

• Users agree to first attempt to resolve disputes directly with the relevant party through BuildersKonnect's dispute resolution system.
• BuildersKonnect will mediate disputes and may make determinations based on platform policies and relevant evidence.
• Complaints will be acknowledged within 48 hours and resolved within 7-10 business days.

9.2 FCCPC Complaints

Users have the right to file complaints with the FCCPC if a resolution cannot be reached. BuildersKonnect will cooperate with FCCPC investigations and comply with any resulting determinations.

9.3 Arbitration

• Disputes not resolved through internal processes or FCCPC involvement may be submitted to arbitration in Nigeria.
• Arbitration will be conducted in accordance with the Arbitration and Conciliation Act of Nigeria.
• The arbitration shall take place in Lagos, Nigeria, in the English language.

10.1 Platform Content

All content on the Platform not uploaded by users is the property of BuildersKonnect or its licensors. Users may not copy, reproduce, distribute, or create derivative works from this content without express permission.

10.2 User Content

Users retain ownership of content they upload to the Platform. By uploading content, users grant BuildersKonnect a non-exclusive, worldwide, royalty-free license to use, display, and distribute the content on the Platform.

10.3 Trademark Notice

BuildersKonnect and related logos are trademarks or registered trademarks of BuildersKonnect. Other trademarks, service marks, and logos used on the Platform are the property of their respective owners.

11.1 Platform Warranties

BuildersKonnect warrants that it will provide the Platform services with reasonable care and skill in accordance with these Terms and applicable Nigerian laws, including FCCPC regulations.

11.2 Fulfillment Warranties

BuildersKonnect warrants that:

• Our Fulfillment Officers will inspect products for quality and accuracy.
• Delivery services will be performed with reasonable care and skill.
• Products will be properly handled during transport.

11.3 Disclaimers

• THE PLATFORM IS PROVIDED "AS IS" WITHOUT OTHER WARRANTIES OF ANY KIND.
• BUILDERSKONNECT DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE.
• WHILE BUILDERSKONNECT INSPECTS PRODUCTS, WE DO NOT MANUFACTURE THEM AND CANNOT GUARANTEE THEIR PERFORMANCE BEYOND VISUAL INSPECTION.
• BUILDERSKONNECT DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE PLATFORM IN TERMS OF CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE.

12.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUILDERSKONNECT'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO BUILDERSKONNECT DURING THE SIX (6) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

12.2 Exclusions

BUILDERSKONNECT SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or exemplary damages.
• Loss of profits, revenue, data, or business opportunities.
• Damages resulting from unauthorized access to your account.
• Damages resulting from third-party conduct or content.
• Damage to property during delivery except where caused by gross negligence of our Fulfillment Officers.

14.1 Privacy Policy

Your privacy is important to us. Our Privacy Policy describes how we collect, use, and disclose information about you. By using the Platform, you consent to the collection and use of information as detailed in our Privacy Policy, which is incorporated by reference into these Terms.

14.2 Data Protection

BuildersKonnect complies with the Nigeria Data Protection Regulation (NDPR) and other applicable data protection laws in Nigeria.

15.1 Updates to Terms

BuildersKonnect may modify these Terms at any time. We will notify users of material changes through the Platform or via email. Your continued use of the Platform after such notification constitutes your acceptance of the modified Terms.

15.2 Updates to Platform

BuildersKonnect reserves the right at any time to modify or discontinue, temporarily or permanently, the Platform or any part thereof with or without notice.

17.1 FCCPC Compliance

BuildersKonnect is committed to complying with all applicable FCCPC regulations and guidelines, including but not limited to:

• The Federal Competition and Consumer Protection Act
• FCCPC E-Commerce Guidelines
• FCCPC Sales Promotion Guidelines
• FCCPC Product Quality and Safety Standards

17.2 Other Regulations

BuildersKonnect also complies with other applicable Nigerian regulations, including:

• Cybercrimes (Prohibition, Prevention, etc.) Act
• Nigeria Data Protection Regulation
• Consumer Protection Council Act
• Standards Organization of Nigeria regulations

18.1 Force Majeure

BuildersKonnect shall not be liable for any failure to perform its obligations if such failure results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, civil unrest, terrorism, or governmental actions.

18.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

18.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. BuildersKonnect's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

18.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, without BuildersKonnect's prior written consent. BuildersKonnect may assign these Terms at any time without notice.

18.5 Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by BuildersKonnect on the Platform, constitute the entire agreement between you and BuildersKonnect concerning the Platform.
